TERMS AND CONDITIONS

These Terms and Conditions (“Agreement”) govern the purchase and use of digital courses, materials, and services provided by Nadia Rodriguez, CPA PLLC, a Texas Professional Limited Liability Company, and Tax Training Academy LLC(collectively referred to as “Company,” “we,” “us,” or “our”).
By purchasing, accessing, or using any course, program, or digital product offered by the Company, you (“Purchaser,” “User,” or “Student”) agree to be legally bound by this Agreement.
If you do not agree, do not purchase or access our courses.
1. ELIGIBILITY
You must be at least 18 years of age to purchase or access our courses. By purchasing, you represent and warrant that you are 18 years of age or older.
2. DIGITAL PRODUCT PURCHASE – NO REFUND POLICY
All courses, materials, and digital products are delivered electronically.
ALL SALES ARE FINAL.
The Company maintains a strict no-refund policy. By completing your purchase, you acknowledge and agree:
No refunds will be issued under any circumstances.
Refunds will not be granted due to dissatisfaction, lack of results, failure to complete the course, or change of mind.
The only exception is a verified duplicate charge processed through Stripe.
Access to the course constitutes full performance of the Company’s obligations.
3. PAYMENT TERMS
All purchases are processed through Stripe.
By submitting payment information, you represent that you are authorized to use the payment method provided.
You agree not to initiate a chargeback after accessing any course materials.
Filing a chargeback after receiving access to digital content constitutes:
A material breach of this Agreement
Fraudulent conduct
Theft of digital services
The Company reserves the right to:
Contest chargebacks with evidence of access
Recover all outstanding balances
Send unpaid amounts to collections
Pursue legal action, including recovery of attorney’s fees and court costs
4. LICENSE GRANT – SINGLE USER
Upon purchase, you are granted a limited, non-exclusive, non-transferable, revocable license for personal, individual use only.
Each purchase includes one single-user license.
You may not:
Share login credentials
Allow multiple users to access your account
Transfer your access to another person
Sell, sublicense, or assign your account
Violation of this section will result in immediate termination without refund.
5. ACCOUNT SHARING & SECURITY
You are responsible for maintaining the confidentiality of your login credentials.
If account sharing is detected, the Company reserves the right to:
Immediately terminate access
Permanently revoke your license
Pursue legal remedies
No refund will be issued for terminated accounts.
6. INTELLECTUAL PROPERTY RIGHTS
All content is the sole and exclusive property of Nadia Rodriguez, CPA PLLC.
This includes but is not limited to:
Videos
Training materials
PDFs
Templates
Worksheets
Slides
Frameworks
Systems
Branding
Course structure
All content is protected under United States copyright, trademark, and intellectual property laws.
You may not:
Copy
Reproduce
Record
Screenshot
Download (unless expressly permitted)
Republish
Distribute
Share
Teach
Create derivative works
Use the materials to create competing courses
7. PROHIBITED USE – COMPETING PRODUCTS
You agree not to use any materials, information, strategies, or frameworks from the Company to:
Teach your own tax course
Train other tax professionals
Create competing educational programs
Repurpose materials for commercial use
Any such use constitutes intellectual property theft.
8. LIQUIDATED DAMAGES FOR UNAUTHORIZED DISTRIBUTION
If you reproduce, distribute, sell, share, or publish any Company materials without written authorization, you agree to pay liquidated damages of $25,000 per violation, in addition to:
Statutory damages
Attorney’s fees
Court costs
Injunctive relief
The parties agree this amount represents a reasonable estimate of damages due to the difficulty in calculating actual harm.
9. COURSE ACCESS
Purchasers receive lifetime access to the course, subject to compliance with this Agreement.
“Lifetime access” refers to the lifetime of the course offering and platform availability.
The Company reserves the right to:
Update content
Modify content
Remove outdated tax information
Improve materials based on changes in tax law
Access may be revoked for violations of this Agreement.
10. EDUCATIONAL DISCLAIMER
All courses are provided for educational and informational purposes only.
Nothing in the course constitutes:
Individual tax advice
Legal advice
Financial advice
CPA-client relationship
Participation in any course does not create a professional-client relationship with Nadia Rodriguez, CPA PLLC.
Students are responsible for consulting appropriate professionals before applying strategies discussed in the course.
11. NO GUARANTEE OF RESULTS
The Company does not guarantee:
Income
Business success
Client acquisition
Tax preparation results
Financial outcomes
Results depend on individual effort, experience, skill, and market conditions.
12. LIMITATION OF LIABILITY
To the fullest extent permitted by Texas law, the Company shall not be liable for:
Indirect damages
Consequential damages
Lost profits
Business interruption
Professional errors by students
Total liability shall not exceed the amount paid for the course.
13. INDEMNIFICATION
You agree to indemnify and hold harmless Nadia Rodriguez, CPA PLLC and Tax Training Academy from any claims, liabilities, damages, losses, or expenses arising out of:
Your misuse of course materials
Your professional services
Your violation of this Agreement
14. GOVERNING LAW & VENUE
This Agreement shall be governed by the laws of the State of Texas.
Any disputes shall be resolved exclusively in the state or federal courts located in Texas.
You consent to personal jurisdiction in Texas.
15. TERMINATION
The Company reserves the right to terminate access at any time for violations of this Agreement.
No refunds will be issued upon termination.
16. SEVERABILITY
If any provision of this Agreement is found unenforceable, the remaining provisions shall remain in full force and effect.
17. ENTIRE AGREEMENT
This Agreement constitutes the entire agreement between the parties and supersedes all prior communications.
